1. Introduction
These Terms and Conditions (“Terms”) govern your use of the freelance bid services (“Services”) provided by Elite Bids (“we,” “us,” or “our”). By engaging our Services, you (“Client”) agree to comply with and be bound by these Terms. If you do not agree, please refrain from using our Services.

2. Scope of Services
We will provide freelance bid services as detailed in the quotation issued to the Client. These services may include, but are not limited to:
• Preparing, writing, and editing proposals or bids on freelance and tender platforms.
• Assisting with profile optimisation and bid strategy.
• Managing submissions and follow-up communications where agreed in writing.

The specific scope, deliverables, and timelines will be mutually agreed with the Client prior to commencement of any work.

We do not guarantee the award of any contracts or projects through our Services. Our role is limited to assisting in the preparation and submission of bids in accordance with the agreed quotation.

3. Client Responsibilities
The Client agrees to:
• Provide accurate and up-to date information necessary for preparing bids.
• Supply required documents, credentials, or project details within agreed timelines.
• Ensure they have the rights to use all materials shared for proposal purposes.
• Review and approve all bids prior to submission (if applicable).

4. Fees and Payments
• All fees for Services are as outlined in the quotation provided prior to the commencement of work.
• Invoices are to be settled within thirty (30) days from the date of issue, unless otherwise agreed in writing.
• Late payments may incur interest or administrative charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (UK) or other applicable legislation.
• Additional services or revisions beyond the original quotation will be subject to separate fees and invoiced accordingly.
• In the event of delayed payment, we reserve the right to suspend or withhold ongoing Services until outstanding balances are cleared.
• No refunds shall be issued once Services have been delivered, except in cases of proven non-performance by us.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non- public information shared during the engagement. We will not disclose or use Client data for any purpose other than providing the agreed Services.

6. Intellectual Property
All content, proposals, and materials created by us remain our property until full payment has been received. Upon payment, ownership of final deliverables is transferred to the Client. We reserve the right to retain copies for portfolio or record-keeping purposes unless otherwise agreed in writing.

7. Limitation of Liability
We shall not be liable for:
• Losses or damages arising from unsuccessful bids.
• Any third-party actions, delays, or platform-related issues.
• Indirect, incidental, or consequential damages resulting from the use of our Services. Our total liability under these Terms shall not exceed the total fees paid by the Client for the Services.

8. Termination
Either party may terminate the engagement with written notice. In such cases:
• The Client shall pay for all Services completed up to the termination date.
• No refund will be issued for Services already rendered.

9. Non-Guarantee Clause
While we strive to enhance the Client’s chances of securing contracts, we make no guarantee of project success, client acquisition, or income generation because of our Services.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Great Britain. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Derby.

11. Amendments
We reserve the right to modify these Terms at any time. Updated versions will be published on our website or provided to the Client upon request. Continued use of our Services constitutes acceptance of the revised Terms.
